Governing Agreement
The agreement between you and ShoMate for use of the platform.
These Terms of Service (“Terms”) govern access to and use of ShoMate (“ShoMate,” “we,” “us,” or “our”), an AI-powered, multi-tenant social media management platform. By creating an account, connecting a social media account, or otherwise using ShoMate, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not use ShoMate.
ShoMate allows businesses to upload content, generate AI-assisted captions, hashtags, and titles, schedule and publish posts across connected third-party social media platforms (currently Instagram, Facebook, Threads, X, TikTok, and YouTube), respond to common customer inquiries using template-based AI responses, and view analytics from a single dashboard.
ShoMate is a tool that assists you in managing your own social media presence. You remain solely responsible for the content you upload, publish, or authorize ShoMate to publish on your behalf.
You must be at least 18 years old and legally authorized to bind the business or organization on whose behalf you register. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate business information and keep it up to date.
ShoMate offers a three (3) day free trial for new customers. There is no permanent free plan. Upon expiration of the trial, continued use of ShoMate requires an active, paid subscription. Subscription fees, billing cycles, and applicable taxes will be presented at checkout and are subject to change with reasonable prior notice. Except where required by law, fees are non-refundable, including in cases of early cancellation, non-use, or account suspension resulting from your violation of these Terms.
ShoMate only connects to social media accounts that you explicitly authorize via each platform’s official OAuth authorization flow. You represent and warrant that:
You are solely responsible for compliance with each connected platform’s terms of service.ShoMate uses only official, publicly documented APIs and authorized authentication methods, and does not scrape, automate browser sessions, use unofficial endpoints, or otherwise circumvent any platform’s restrictions. ShoMate is not responsible for, and expressly disclaims all liability arising from, any action a platform takes against your account — including warnings, restrictions, suspension, or permanent bans — regardless of whether that action was triggered by content you uploaded, instructions you gave, or automated actions ShoMate took at your direction.
ShoMate uses artificial intelligence to generate captions, hashtags, YouTube titles, and template-based customer inquiry responses based on content and business information you provide. AI-generated output is provided “as-is” and may occasionally be inaccurate, incomplete, or unsuitable for your intended purpose.
You are solely responsible for reviewing all AI-generated content before it is published or sent, whether published immediately, on a schedule, or automatically. ShoMate does not guarantee the accuracy, appropriateness, legality, or effectiveness of AI-generated content, and you assume all risk associated with its use.
You retain all ownership rights in content you upload to ShoMate. By uploading content, you grant ShoMate a limited, non-exclusive, worldwide license to host, process, transmit, and publish that content solely as necessary to provide the service and at your direction. You represent that you own or have all necessary rights to any content you upload, and that such content does not infringe any third party’s intellectual property, privacy, or other rights, and does not violate any applicable law.
Uploaded media is retained only as long as necessary to process and publish your content. Following successful publication, original media files are automatically deleted from ShoMate’s systems within twenty-four (24) hours; ShoMate retains only associated lightweight metadata (such as captions, hashtags, titles, publishing history, platform post identifiers, and analytics) as described in our Privacy Policy.
You agree not to use ShoMate to:
We reserve the right to suspend or terminate your account, without refund, if we reasonably believe you have violated this section.
ShoMate’s functionality depends on the continued availability, stability, and policies of third-party platforms (including Meta, TikTok, X, and YouTube) and their respective APIs. These platforms may change, restrict, suspend, or discontinue API access at any time, for reasons outside ShoMate’s control. ShoMate does not guarantee uninterrupted access to any third-party platform and is not liable for any loss, damage, or disruption to your business arising from a platform’s actions, API changes, outages, or policy changes.
SHOMATE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOMATE AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF SHOMATE — INCLUDING ANY ACTION TAKEN BY A THIRD-PARTY PLATFORM AGAINST YOUR CONNECTED ACCOUNTS — EVEN IF SHOMATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SHOMATE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT YOU PAID TO SHOMATE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless ShoMate and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your content; (b) your use or misuse of ShoMate; (c) your violation of these Terms; (d) your violation of any third-party platform’s terms of service; or (e) your violation of any applicable law or the rights of any third party.
We may suspend or terminate your access to ShoMate, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for ShoMate, or engaged in conduct that harms other customers or third-party platforms. You may cancel your subscription at any time; cancellation will take effect at the end of the then-current billing period, and no refund will be provided for the remaining term except where required by law.
We may modify, suspend, or discontinue any part of ShoMate at any time. We may also update these Terms from time to time; material changes will be communicated via the dashboard or email, and continued use of ShoMate after such changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of [Insert Jurisdiction], without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or ShoMate shall be resolved through [binding arbitration / the courts of Insert Jurisdiction], and you waive any right to participate in a class action.
These Terms, together with our Privacy Policy and Platform Compliance Policy, constitute the entire agreement between you and ShoMate. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
